Please note that your use of and access to our services (defined below) are subject to the following terms; if you do not agree to all of the following, you may not use or access the services in any manner.

Please review the following rules and restrictions that govern your use of our website, products, and services (the “Services“). If you have any questions, comments, or concerns about these terms or the Services, please reach out to us at jovy@gitroll.io.

When we mention “you“ or “your,“ we mean you, the user (including, if you are agreeing to these terms on behalf of a third party, that third party). References to “us,“ “we,“ “our,“ or “GitRoll“ encompass the Services and our company, including its officers, directors, investors, agents, representatives, and employees.

These Terms of Use (the “Terms“) form a binding contract between you and GitRoll. Your use of the Services is contingent upon agreeing to and accepting all applicable Terms. Additionally, these terms encompass the provisions outlined in the Privacy Policy and Copyright Policy.

Please read these terms carefully to ensure you understand each provision. These terms include a mandatory individual arbitration and class action/jury trial waiver provision, requiring the use of arbitration on an individual basis to resolve disputes, instead of jury trials or class actions.


Terms

How do the Services work?

GitRoll offers an integrated online platform that serves as a tool by screening users‘ GitHub profiles to provide a comprehensive coding profile. By using Gitroll‘s services, you acknowledge and consent to the sharing of your User Submissions, including your GitRoll profile, with the companies associated with GitRoll.

This sharing allows the Companies to contact you and evaluate whether you would be a good fit for their organizations. If you choose to opt in but later decide not to share your GitRoll profile with Companies, you can select available for Jobs on your profile.

It is important to note that GitRoll is not obligated to share your User Submissions with Companies and cannot guarantee that you will be contacted or hired. The decision to contact you or extend a job offer is solely at the discretion of the Companies.

Will these Terms ever change?

As we continually strive to enhance our Services, updates to these Terms may be necessary to align with the evolving nature of GitRoll. We retain the right to modify these Terms at any time. In the event of changes, we will notify you through notices on the GitRoll website, via email, or through other appropriate channels.

Should you disagree with the updated Terms, you have the option to reject them. However, opting out means you will no longer have access to GitRoll‘s Services. If you continue to use any of the Services following the effective date of the amended Terms, it signifies your agreement to accept these changes.

Except for modifications made by us as outlined here, no other alterations or amendments to these Terms will be valid unless documented in writing and mutually signed by both you and GitRoll.

What about my privacy?

The Children‘s Online Privacy Protection Act (“COPPA”) requires that online service providers obtain parental consent before they knowingly collect personally identifiable information online from children who are under 13. We do not knowingly collect or solicit personally identifiable information from children under 13; if you are a child under 13, please do not attempt to register for the Services or send any personal information about yourself to us. If we learn we have collected personal information from a child under 13, we will delete that information as quickly as possible. If you believe that a child under 13 may have provided us personal information, please contact us at jovy@gitroll.io.

Your use of the Services is subject to the following additional restrictions:

You represent, warrant, and agree that you will not (and will not permit or assist any third party to) contribute any Content or User Submission (each of those terms is defined below) or otherwise use (or allow any third party to use) the Services or interact with the Services in a manner that:

  • Infringes or violates any intellectual property rights or any other rights of anyone else;
  • Violates any law or regulation, including any applicable export control laws;
  • Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable, or would otherwise expose GitRoll or its third party providers to unreasonable risk of legal liability, or otherwise injure GitRoll, its third party providers or any other third party;
  • Jeopardizes the security of your GitRoll account or anyone else‘s (such as allowing someone else to log in to the Services as you);
  • Attempts, in any manner, to obtain the password, account, or other security information from any other user;
  • Bypasses or violates the security of any computer network, or cracks any passwords or security encryption codes, or potentially exposes any of the Services to software viruses or any other computer code, files, or programs that are designed or intended to disrupt, damage, limit or interfere with the proper function of any software, hardware, or telecommunications equipment, or to otherwise damage or obtain unauthorized access to any system, data, password or other information of GitRoll or any of its third party providers;
  • Runs Maillist, Listserv, any form of auto-responder or “spam” on the Services, or any processes that run or are activated while you are not logged into the Services, or that otherwise interfere with the proper working of the Services (including by placing an unreasonable load on the Services‘ infrastructure);
  • “Crawls,” “scrapes,” or “spiders” any page, data, or portion of or relating to the Services or Content (through use of manual or automated means);
  • Copies or stores any significant portion of the Content;
  • Decompiles, reverse engineers, or otherwise attempts to obtain the source code or underlying ideas or information of or relating to the Services, except to the limited extent applicable laws specifically prohibit such restriction; or
  • Take any action that imposes or may impose (as determined by GitRoll in its sole discretion) an unreasonable or disproportionately large load on GitRoll‘s (or its third party providers‘) infrastructure.

A violation of any of the foregoing is grounds for termination of your right to use or access the Services.


GitRoll Private Repository Access Terms

Introduction

GitRoll is committed to maintaining the confidentiality and security of our users‘ private repositories. By granting GitRoll access to your private repositories, you agree to the terms outlined below, which are designed to ensure that your private code is handled with the utmost care and security.

1. Control of Private Repositories

As a user, you have the ability to control access to the content within your private repositories. GitRoll will only access your private repository content with your explicit consent and for the purposes outlined in these terms.

2. Confidentiality of Private Repositories

GitRoll treats the contents of private repositories as confidential. We will protect the contents of private repositories from unauthorized use, access, or disclosure using the same standard of care we use to protect our own confidential information, and in no event with less than a reasonable degree of care.

3. Access

GitRoll personnel will only access the content of your private repositories under the following conditions:

  • With Your Consent: GitRoll will access your private repositories only if you grant explicit permission.
  • For Security Purposes: To maintain the integrity of our service and protect against security threats.
  • Support Matters: To assist you with a support issue that you have raised.
  • Compliance with Legal Obligations: If compelled by law or to comply with our legal obligations.
  • Service Features: To enable specific GitRoll services or features that you have opted to use, which require additional rights to your content. These rights may vary depending on the service or feature, but GitRoll will continue to treat your private repository content as confidential.

4. Additional Access Rights

You may choose to enable additional access rights for GitRoll to enhance your experience with our services. If a specific service or feature requires rights beyond what is needed to provide the GitRoll Service, we will explain these additional rights and seek your consent.

5. Notification of Access

GitRoll will provide notice regarding access to your private repository content unless such access is necessary for:

  • Legal disclosure or compliance with legal obligations.
  • Automated scanning for security purposes.
  • Responding to a security threat or other risks to security.

6. Consent Process

By enabling private repository scanning, you agree to the following process:

  1. Request for Consent: GitRoll will request your explicit consent to access your private repositories.
  2. Granting Access: Upon granting consent, GitRoll will access your private repositories in accordance with the terms outlined here.
  3. Revoking Consent: You can revoke GitRoll‘s access to your private repositories at any time through your Github account settings.

Your Rights in the Services

The materials presented or made available through GitRoll‘s Services, including text, graphics, data, articles, photos, images, illustrations, User Submissions, and similar elements (collectively referred to as “Content“), are safeguarded by copyright and/or other intellectual property laws. By using the Services, you commit to adhering to all copyright notices, trademark regulations, and any limitations stipulated in the Content. You agree not to utilize, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell, or exploit any Content for any purpose unless you are the rightful owner or possess prior consent from the owner.

Recognizing that GitRoll owns the Services, you refrain from altering, publishing, transmitting, participating in the transfer or sale of, reproducing (except as expressly permitted in this section), creating derivative works based on, or otherwise exploiting any part of the Services.

While the Services may offer options to copy or download specific Content, it‘s essential to understand that the aforementioned restrictions persist, even if such functionality is provided.


Termination of Services for GitRoll

Termination by User:

Users are free to cease using GitRoll at any time. To request account deletion, please send an email to jovy@gitroll.io. Refer to our Privacy Policy and the User Submission Rights above to understand the treatment of your information after discontinuing our Services.

Termination by GitRoll:

GitRoll reserves the right to terminate or suspend user access to the Services or their account for any reason at our discretion, including the breach of these Terms. GitRoll holds the sole right to determine violations of the restrictions outlined in these Terms.


Granting Licenses to GitRoll

Any content, including code solutions you provide (“Solutions“), that you post, upload, share, store, or otherwise contribute to GitRoll‘s Services constitutes your “User Submission.“ While certain User Submissions are visible to other users, you retain ownership of your User Submissions. By providing User Submissions, you grant GitRoll specific rights to facilitate the operation of the Services.

User Submission Rights:

  • You grant GitRoll a license to use, translate, modify (for technical purposes), and reproduce your User Submissions, enabling the operation of the Services.
  • You grant GitRoll a license to use such submissions for technical skills assessment Services, including contacting you for potential engineering positions.

Personal User Submissions:

  • For User Submissions stored in your personal GitRoll account (not viewable by others), you grant GitRoll the User Submission Rights, including the license to display, perform, and distribute these submissions for accessibility within the Services.

Public User Submissions:

  • When sharing User Submissions with a broader audience or providing feedback, suggestions, etc. (“Public User Submissions“), you grant GitRoll the User Submission Rights. Other users also receive a license to access and use Public User Submissions, as permitted by the Services‘ functionality.

You acknowledge that these licenses are royalty-free, perpetual, sublicenseable, irrevocable, transferable, and worldwide. Even if you delete your GitRoll account, User Submissions may persist within the Services, subject to applicable privacy policies.

Lastly, you understand and agree that GitRoll may need to adapt User Submissions to meet technical requirements, and the licenses encompass the rights to do so.


Warranty Disclaimer for GitRoll

GitRoll, including its licensors and suppliers, disclaims any special relationship or fiduciary duty to users. GitRoll makes no representations or warranties regarding the accuracy, copyright compliance, legality, or decency of material accessed through its Services. Products and services offered or purchased through GitRoll are provided “AS IS“ without any warranty, express or implied.

  • GitRoll has no control over Users‘ or Companies‘ actions or services.
  • GitRoll does not guarantee sharing User Submissions with Companies, Company contact, or user hiring.
  • Services and content are provided “AS-IS“ without warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted/error-free use.

Limitation of Liability for GitRoll

To the fullest extent permitted by applicable law:

  • GitRoll (and its licensors or suppliers) shall not be liable for indirect, special, incidental, or consequential damages.
  • Liability is limited to the greater of $100 or the amounts paid to GitRoll in the twelve (12) months preceding the claim.
  • GitRoll is not liable for matters beyond its reasonable control.

Indemnity for GitRoll

Users agree to indemnify and hold GitRoll, its affiliates, and their officers, agents, employees, and partners harmless from any claims, liabilities, damages, losses, and expenses (including attorneys‘ fees) related to:

  • User‘s use of the Services.
  • Violation of GitRoll‘s Terms.

This indemnity provision applies to actions taken by third parties using the user‘s account.


Assignment for GitRoll

Assignment:

GitRoll users may not assign, delegate, or transfer these Terms, rights, or obligations without prior written consent from GitRoll. GitRoll reserves the right to transfer, assign, or delegate these Terms and its rights and obligations without user consent.

Choice of Law; Arbitration:

These Terms, governed by New York,USA law, will be construed accordingly. Disputes will be settled in New York, USA in English. Each party retains the right to seek injunctive or equitable relief in any competent jurisdiction. Both parties consent to exclusive jurisdiction and venue in the courts of New York.

Miscellaneous:

Users are responsible for taxes associated with Services use. The failure to exercise any right herein does not waive further rights. If a provision is unenforceable, it will be limited to preserve the Terms‘ effect. These Terms constitute the complete understanding between GitRoll and users, superseding all previous agreements. The use of “including“ or “includes“ implies “without limitation.“ Users acknowledge not being employees, agents, or partners of GitRoll. These Terms do not intend third-party beneficiaries.
